Terms of Service

These Terms are a starting template and must be reviewed by legal counsel before you rely on them.

These Terms of Service ("Terms") govern your access to and use of the ClipHuman service (the "Service"), operated by Montgomery Media LLC ("ClipHuman", "we", "us"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who can use the Service

You must be at least 16 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Your account

You are responsible for the activity under your account and for keeping your access credentials secure. Notify us promptly of any unauthorized use.

3. Your content

You retain all ownership of the recordings, clips, and other content you create or upload ("Your Content"). You grant us a limited license to host, process, edit, and transmit Your Content solely to operate and provide the Service to you — including generating clips and, at your direction, publishing them to social accounts you connect. You represent that you have the rights necessary to your Content and that it does not violate any law or third-party rights.

4. Connected accounts and third-party platforms

When you connect a third-party platform (such as LinkedIn, YouTube, or others), you authorize us to act on your behalf to publish the content you approve. Your use of those platforms is also subject to their own terms and policies, and we are not responsible for their services, availability, or actions.

5. Acceptable use

You agree not to use the Service to create or distribute content that is unlawful, infringing, deceptive, harassing, or that violates the rules of any connected platform. You may not attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.

6. Copyright complaints

If you believe content on the Service infringes your copyright, email hello@cliphuman.com with the subject line "Copyright complaint" and include: (a) your physical or electronic signature; (b) the copyrighted work you claim is infringed; (c) the material you claim is infringing and where it is on the Service, in enough detail for us to find it; (d) your address, telephone number and email address; (e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for them.

We review every complete notice and remove or disable access to material we find infringing. If we remove your content because of a notice, we will tell you, and you may reply with a counter-notice explaining why you believe it was removed by mistake or misidentification. We will close the accounts of users who repeatedly infringe others' copyrights.

7. AI-generated suggestions

The Service uses AI to suggest topics, questions, and captions. These suggestions may be inaccurate or incomplete; you are responsible for reviewing and approving anything before it is published.

8. Fees and automatic renewal

The Service is currently free while in beta, and we will not charge you without your clear agreement. If you choose a paid plan, these terms apply:

Billing. Paid plans are billed monthly or annually, in advance, at the price shown next to the subscribe button when you sign up.
Automatic renewal. Your plan renews automatically for another period of the same length, at the then-current price, until you cancel. We will charge the payment method on file at the start of each period. We will show these renewal terms next to the subscribe button and ask you to agree to them before you pay, and we will email you a confirmation that repeats them.
Free trials. If a plan starts with a free trial, we will tell you before you sign up when the trial ends and what you will be charged. Unless you cancel before the trial ends, your paid plan starts then. For trials longer than 31 days, we will email you a reminder before the first charge.
Renewal reminders. For annual plans, we will email you 15 to 45 days before each renewal.
Cancelling. You can cancel online at any time, in the Service's settings, without having to call or email us. Cancellation takes effect at the end of your current billing period, and you keep access until then.
Refunds. Fees are non-refundable, including for partial billing periods, except where the law requires a refund.
Price changes. We will email you at least one full billing period before a new price applies to you. If you don't want to pay the new price, you can cancel before it takes effect.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Upon termination, the rights granted to you under these Terms end.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Montgomery Media LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE.

⚖️ Legal review: liability cap, indemnity, warranty disclaimers, and governing law must be confirmed by counsel.

12. Governing law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules.

13. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide more prominent notice. Continued use after changes means you accept the updated Terms.
